Why Boards Must Move Beyond Compliance

Corporate governance was once viewed mainly through the lens of legal obligations, financial reporting and regulatory compliance.

Modern boards, however, are expected to provide strategic direction while overseeing technology, cybersecurity, sustainability, organisational culture, talent, reputation and rapidly changing stakeholder expectations.

Artificial intelligence is transforming industries and business models, while geopolitical uncertainty, economic volatility, cyber threats and supply-chain disruptions are increasing the range of risks requiring board-level attention.

The Summit will challenge directors to consider whether compliance has become a substitute for strategic leadership and whether current governance frameworks are capable of responding quickly enough to emerging technologies and new organisational risks.

Trust Is Capital

One of the Summit’s central sessions is titled “Trust is Capital: Why Reputation is a Boardroom Issue.”

The discussion will examine how boards can safeguard corporate reputation, strengthen stakeholder confidence and guide organisations through uncertainty. Transparency, ethical leadership, environmental and social responsibilities, crisis preparedness and accountable decision-making are expected to form important parts of the conversation.

Trust is not created only through public communication after a crisis. It develops through the quality of decisions made before a crisis occurs, the behaviour encouraged by organisational culture and the consistency with which leaders honour commitments to employees, customers, investors, suppliers and communities.

A major governance failure can therefore damage far more than short-term financial performance. It can weaken investor confidence, employee loyalty, customer relationships, access to capital and the organisation’s ability to operate effectively.

Four Priorities for Future-Ready Boards
Governance responsibilities are expanding beyond traditional oversight.
1
Strategic Board Leadership
Move beyond compliance to guide growth, accountability and long-term value creation.
2
Technology and Digital Risk
Strengthen oversight of AI, cybersecurity, data governance and digital transformation.
3
Trust and Reputation
Protect stakeholder confidence through integrity, transparency and crisis readiness.
4
Talent and Culture
Oversee leadership development, succession planning and organisational resilience.

These four priorities reflect the Summit’s published programme covering effective board leadership, digital risk, reputation and stakeholder confidence, and human-capital governance.

Global Experience Meets Sri Lankan Boardroom Reality

The programme features an extensive line-up of international and Sri Lankan corporate, academic, regulatory and governance leaders.

Among the announced participants are former Maldivian President and Speaker Mohamed Nasheed, who is expected to discuss sustainability and resilience, and University of Leicester President and Vice-Chancellor Professor Sir Nishan Canagarajah, whose address will examine innovation, talent, technology and global competitiveness.

World Bank Group Global Head of Talent and Career Development Edith Umole will address the board’s responsibility for talent, including succession planning, leadership development and organisational resilience.

The financial and regulatory discussions will feature former J.P. Morgan South and Southeast Asia Chairperson Kalpana Morparia, President’s Counsel Dr. Harsha Cabral, President’s Counsel Harsha Amarasekera and Securities and Exchange Commission Chairman Senior Professor Hareendra Dissabandara.

Technology and innovation will also receive significant attention through contributors including Deloitte Centre for the Edge Asia-Pacific Innovation Leader Duleesha Kulasooriya and University of Buckingham Professor Harin Sellahewa. Their sessions are expected to examine innovation, AI, cybersecurity and the legal and ethical responsibilities associated with digital governance.

Talent and Organisational Culture Become Board Responsibilities

The Summit will also explore why talent and culture can no longer be treated as matters belonging solely to human-resources departments.

Succession planning, workforce transformation, leadership capability and organisational culture can directly influence operational resilience, innovation, productivity and reputation.

Boards must therefore understand whether their organisations are developing future leaders, retaining important skills and building cultures where employees can raise concerns before weaknesses become crises.

How Boards Build Lasting Trust
1
Act with Integrity
Apply consistent ethical standards to every major decision.
2
Be Transparent
Communicate risks, decisions and responsibilities clearly.
3
Listen to Stakeholders
Understand concerns affecting customers, employees and investors.
4
Prepare for Crises
Develop clear accountability and response structures before disruption.
5
Review the Culture
Ensure organisational behaviour reflects stated values.
Reputation is shaped by daily board decisions—not only by communication during a crisis.

Why Stronger Boards Matter to Sri Lanka

Sri Lanka’s ability to attract investment and build internationally competitive businesses depends partly on whether organisations are governed transparently, responsibly and strategically.

Strong boards can improve risk oversight, encourage responsible innovation, build investor confidence and help companies make long-term decisions instead of reacting only to short-term challenges.

The Summit’s wider objective is to support a corporate sector that is more resilient, investible, innovative and capable of competing regionally and globally.

SLD Perspective: Governance as a Competitive Advantage

The Sri Lanka Corporate Director Summit 2026 arrives at a time when businesses are facing increasing scrutiny, technological disruption and changing expectations from investors, employees and consumers.

For Sri Lankan companies, good governance should not be treated merely as a regulatory burden. It can become a competitive advantage that strengthens reputation, supports investment and improves organisational resilience.

SriLankaDirectory.com encourages directors, senior executives, entrepreneurs and governance professionals to follow the Summit’s discussions and apply its lessons to businesses of every size—not only listed companies and major corporations.

Current registration and programme information should be confirmed through the official Sri Lanka Institute of Directors event page.
